Terms of Service

These terms govern the measurement services provided by SHORA.

1. The service

SHORA independently measures whether products promoted by an e-commerce advertiser can actually be purchased on the advertiser's website, by deterministically executing the purchase journey on publicly accessible pages. The service produces alerts when a promoted product becomes unpurchasable, diagnostic reports, and monthly statements reconciling measured incidents with the advertiser's own ad account reporting. Each engagement is defined in a written order (statement of work) specifying scope, duration, and price; in case of conflict, the order prevails over these terms.

2. What the service is not

SHORA is a measurement provider, not an advertising agency. We never create, modify, pause, or delete campaigns, ads, budgets, or bids in the client's advertising accounts. Recommendations are provided for the client to evaluate; all corrective action is decided and executed by the client, in their own accounts, under their sole responsibility.

3. Client obligations

The client grants SHORA read-only access to the advertising accounts in scope (via Google's OAuth consent flow) and confirms it has the authority to do so. The client may revoke this access at any time; revocation ends the affected measurement scope. The client provides timely information reasonably necessary for the engagement (product catalog scope, contact points).

4. Fees and payment

Diagnostics are billed at a fixed fee as stated in the order. Monitoring subscriptions are billed monthly as stated in the order. Invoices are payable within thirty (30) days of issue. Late payment accrues interest at the statutory rate applicable between professionals in France, plus the fixed recovery indemnity provided by law.

5. Intellectual property

SHORA retains all rights in its measurement methods, software, and internal tools. Deliverables (alerts, reports, statements) are provided to the client for its internal use. The client may share deliverables internally and with its direct advisors; public republication requires SHORA's written consent.

6. Confidentiality

Each party treats the other's non-public information as confidential, uses it only for the engagement, and does not disclose it to third parties, for the duration of the engagement and three (3) years thereafter. Client advertising data is additionally governed by our Privacy Policy and is never shared across clients.

7. Liability

SHORA's liability is limited to direct damages proven by the client and capped at the amounts actually paid by the client for the engagement concerned during the six (6) months preceding the event giving rise to liability. SHORA is not liable for indirect damages, loss of revenue, loss of data, or decisions taken by the client on the basis of the service's outputs. Nothing in these terms excludes liability that cannot be excluded under French law.

8. Term and termination

Diagnostic engagements end upon delivery of the report. Subscriptions run month to month and may be terminated by either party with thirty (30) days' written notice. Either party may terminate immediately for material breach not cured within fifteen (15) days of written notice.

9. Governing law and jurisdiction

These terms are governed by French law. Any dispute falls under the exclusive jurisdiction of the courts of France unless mandatory law provides otherwise.

10. Changes

We may update these terms; the current version is always published at this URL with its version number and effective date. For ongoing subscriptions, updated terms apply from the next renewal.
